NEW YORK–(BUSINESS WIRE)– “News Corporation has a long-standing commitment to the broadcast television business, and to delivering the highest-quality entertainment, sports and news programming to our viewers on a localized basis. We are committed to broadcasting under a business model where programmers receive fair compensation from parties that want to redistribute our product while continuing to make our product available for free to individual consumers that want to access our signal.

“We believe that Aereo is pirating our broadcast signal. We will continue to aggressively pursue our rights in the courts, as well as pursue all relevant political avenues, and we believe we will prevail.

“That said, we won’t just sit idle and allow our content to be actively stolen. It is clear that the broadcast business needs a dual revenue stream from both ad and subscription to be viable. We simply cannot provide the type of quality sports, news, and entertainment content that we do from an ad supported only business model. We have no choice but to develop business solutions that ensure we continue to remain in the driver’s seat of our own destiny. One option could be converting the FOX broadcast network to a pay channel, which we would do in collaboration with both our content partners and affiliates.”

News Corporation Sells Stake in Phoenix Satellite Television Holdings Limited

HONG KONG–(BUSINESS WIRE)– News Corporation today announced its wholly-owned subsidiary Star Entertainment Holdings Limited has agreed to sell an approximately 5.28 percent stake in Phoenix Satellite Television Holdings Limited (Phoenix) for approximately USD92 million. Following the sale, Star Entertainment Holdings Limited‘s total ownership stake in Phoenix will be reduced to approximately 12.16 percent.

James Murdoch, Deputy Chief Operating Officer and Chairman and CEO, International, News Corporation, said, “Mr Liu Changle and Phoenix’s accomplishments in the media industry in China are remarkable. We believe the company’s strong position in all of the segments in which it operates, combined with the country’s robust consumer market, will continue to drive growth. Michael Florin Named Senior Vice President and Head of Investor Relations for New News Corporation

NEW YORK–(BUSINESS WIRE)– News Corporation (NASDAQ: NWS, NWSA; ASX: NWS, NWSLV) today announced the appointment of Michael Florin as Senior Vice President and Head of Investor Relations for the new News Corporation, the proposed global publishing entity to be formed as part of the Company’s intended separation into two independent, publicly traded companies. In his new role, effective April 1, he will report to Chief Financial Officer of the new News Corporation, Bedi Ajay Singh.

Mr. Florin has over 20 years of investment and media industry experience, most recently with Morgan Stanley, where he served as the Media-Telecom Sector Specialist since 2008.

“Michael brings to the new News Corp an ideal combination of deep media knowledge along with unique experience working on both the buy and sell sides of the business,” said Mr. Singh. “His expertise at understanding and communicating effectively about our industry has earned him respect in the investment community and will make him an enormous asset for the Company. I am delighted he’s joining our team.”

While at Morgan Stanley, Mr. Florin received distinguished recognition in the Institutional Investor Survey as a top sector salesperson for 2012. In addition to his sell-side experience, he served as a buy-side analyst for TIAA-CREFF, and, before that, for U.S. Trust. He began his financial services career in equity research roles at CIBC Oppenheimer and Gerard Klauer Mattison. Mr. Florin holds a BA from the University of Michigan and an MBA from Columbia Business School, both with honors.

News Corporation Separation

On June 28, 2012, News Corporation announced that it intends to pursue the separation of its publishing and its media and entertainment businesses into two distinct publicly traded companies. The global publishing company that would be created through the proposed transaction would consist of the Company’s publishing businesses, its education division and other Australian assets. The global media and entertainment company would consist of the Company’s cable and television assets, filmed entertainment, and direct satellite broadcasting businesses. News Corporation to Sell Stake in New Zealand’s SKY Network Television Limited

SYDNEY, Australia–(BUSINESS WIRE)– News Corporation announced that its News Limited subsidiary will divest its 44% stake in SKY Network Television Limited, New Zealand‘s pre-eminent pay television broadcasting service.

News Limited has appointed Deutsche Bank to underwrite and, together with Craigs Investment Partners, to manage, the sales of its SKY shares. It is expected that the shares will be sold to a broad range of institutional and retail investors. Following the sales, News Limited will no longer have any holding in SKY Network Television Limited.

Chase Carey, President and Chief Operating Officer, News Corporation said: “SKY is a world class subscription television business and has been an outstanding investment for News Corporation. We and SKY have always enjoyed an excellent, arms-length working relationship and we expect this to continue unaffected by the sale. In particular, we do not anticipate any change to current arrangements regarding access to content and collaboration on technology.”

As a result of the sale, Michael Miller, Regional Director of News Limited, will resign from the board of SKY.
