Chipotle to Host Cultivate Festivals in San Francisco, Denver, and Chicago

DENVER–(BUSINESS WIRE)– Chipotle Mexican Grill (NYS: CMG) has announced the lineup for its 2013 Cultivate food, music and ideas festival series, with events planned in San Francisco, Denver, and Chicago. The one-day festivals all include cooking demonstrations by celebrity chefs, live music, local food artisans, regional beer and wines, a special Chipotle festival menu, and other activities emphasizing fresh and affordable food made with sustainable ingredients. Cultivate San Francisco will be held on Saturday, June 8 in Golden Gate Park’s Hellman Hollow; Cultivate Denver is on Saturday, August 17 in City Park; and Cultivate Chicago is Saturday, September 7 in Lincoln Park. Admission for all events is free.

“We are changing the way people think about and eat fast food, and part of that comes from helping people understand how food should be raised and prepared,” said Mark Crumpacker, chief marketing officer at Chipotle. “These events allow us to educate people about how food can be raised responsibly by giving attendees the opportunity to interact with farmers, local artisans and some of the country’s best chefs, all while enjoying some great live music and delicious food.”

In addition to live music and onsite chef demonstrations, each Cultivate event will include six interactive experiences focused on sustainable food – including experiences from the California Avocado Commission and Tabasco Brand Products – as well as a Kids’ Zone which will feature crafts and activities. All three festivals will have an Artisans’ Hall offering a wide selection of local artisan-crafted food for sampling and purchase, and a Brewers’ Hall serving local and specialty beers and wines. New this year, Chipotle is partnering with a local brewer in each Cultivate city to create “Cultivate Farmhouse Ale,” a Saison-style beer that will be exclusively available at the festival.

In the spirit of healthful, sustainable food, Chipotle’s culinary team has also created a special menu of food that can be purchased at the festival. Food offerings will include a grilled flatbread gordita; chicken and SofritasTM tacos; charred esquites salad; and a jasmine rice bowl with pork and chicken meatballs or organic tofu from ShopHouse Southeast Asian Kitchen, Chipotle’s Asian concept.

Opexa Therapeutics Reports Year End 2012 Financial Results and Provides Corporate Update

THE WOODLANDS, Texas–(BUSINESS WIRE)– Opexa Therapeutics, Inc. (NAS: OPXA) , a biotechnology company developing a novel T-cell therapy for multiple sclerosis (MS), today reported financial results for the year ended December 31, 2012 and provided an overview of recent corporate developments.

2012 and recent highlights include:

  • Clinical

    • Commenced a Phase IIb clinical study of Tcelna™ (imilecleucel-T) in patients with Secondary Progressive Multiple Sclerosis (SPMS). The randomized, double-blind, placebo controlled study is titled the “Abili-T” trial and will enroll 180 patients through approximately 30 leading clinical sites in the U.S. and Canada;
    • Gained approval from Health Canada to expand the Abili-T clinical trial to include several renowned sites in Canada; and
    • Initiated a comprehensive Immune Monitoring Program to capture valuable information from the Abili-T trial, including the potential identification of biomarkers for SPMS and further understanding of the immunopathology of SPMS.
  • Financial/Operational

    • Closed a private offering of convertible secured notes and warrants to purchase common stock for gross proceeds of approximately $4.1 million in July 2012;
    • Entered into two stock purchase agreements with Lincoln Park Capital Fund LLC in November 2012 in which Opexa may sell up to an aggregate of $16.5 million of shares of common stock to Lincoln Park subject to certain limitations and conditions over a 30-month period;
    • Executed a key strategic option and license agreement with Merck Serono in February 2013 for the development and commercialization of Tcelna in patients with MS. If Merck Serono exercises the licensing option, Merck would be solely responsible for funding development, regulatory and commercialization activities for Tcelna in MS. Potential milestone payments to Opexa if Tcelna is successfully commercialized could total $225 million. Additionally, Opexa is eligible to receive tiered royalties on commercial sales at rates ranging from 8% to 15% of annual net sales;
    • Raised $3.25 million of gross proceeds through a registered offering of common stock and warrants in February 2013; and
    • Strengthened our expertise in cell therapy through the hiring of several cell therapy experts in the areas of manufacturing, quality assurance, quality control and R&D.

Terra Tech Corp.: Issues Corporate Update on GroRite and NB Plants Merger and Recent Financing

IRVINE, Calif.–(BUSINESS WIRE)– Terra Tech Corp. (OTCBB: TRTC), a leader in sustainable agricultural products, releases merger update with both GroRite Garden Centers and NB Plants/ Edible Garden and discusses their recent $825,000 financing.

Terra Tech recently announced signing LOI‘s to acquire two companies, GroRite Garden Center and NB Plants/ Edible Garden brand. Upon a successful merger these two acquisitions will push annual revenue for Terra Tech to over $10 million. Both companies are cash flow and net income positive. Currently the Edible Garden brand can be found at Shoprite, Food Emporium in over 280 retailers throughout New JerseyNew York, Connecticut, Delaware, Maryland, and Pennsylvania. GroRite is a gardening superstore with retail shopping situated on over 8 acres in Lincoln Park, NJ.

As we have previously stated the company is currently working towards definitive documents to close the transaction and determined it was important to make investors aware of the progress and details. To date Terra Tech has finished negotiating terms with both entities and are finalizing the documents and the structure of the transaction. Both NB Plants and GroRite have working capital lines of credit amounting to $1.8 million in place. The lines had certain covenants that wouldn’t transfer over to the new merged entity. Presently Terra Tech and the VandeVrede’s are refinancing these instruments, which has caused a delay for closing the merger. Both parties are confident the new lines will be set up within a few weeks.

Terra Tech announced yesterday the completion of the sale of $825,000 of convertible debentures. Aegis Capital Corp. acted as placement agent for the offering. The proceeds of the offering are critical for management to execute on its growth strategy. Terra Tech and NB Plants have recently announced they are purchasing and constructing an additional five acres of greenhouse on the Belvidere property.
